StakeDriven Terms of Use
These Terms of Use govern your access to and use of stakedriven.com, app.stakedriven.com, testnet.stakedriven.com, related subdomains, and any app, page, interface, API route, smart-contract interaction flow, or feature that links to these Terms (collectively, the "Services").
"StakeDriven", "we", "us", and "our" mean the operator of the Services. If no separate legal entity is identified in the Services, these references mean the person or entity that controls the stakedriven.com domain and makes the Services available. Contact: legal@stakedriven.com.
By accessing the Services, signing in, connecting a wallet, creating a project or poll, funding a poll option, cancelling a vote, finalizing a poll, claiming funds, or clicking to accept these Terms, you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the Services.
1. What StakeDriven Is
StakeDriven is a beta, non-custodial software interface for token-backed product validation polls.
Poll creators can ask users to signal product demand by committing approved tokens to poll options. Smart contracts settle each poll according to its on-chain configuration and the poll-specific terms shown in the app. Funds committed to winning options may be claimed by the poll creator after finalization. Funds committed to non-winning options may be claimable back by the relevant voters according to the smart contract.
StakeDriven is intended to help teams test product demand, prioritize roadmaps, and understand user willingness to support specific product work. It is not intended to be used for investment offerings, token sales, securities offerings, lending, deposit taking, yield generation, gambling, lotteries, payment accounts, or regulated financial products.
2. Beta and Experimental Technology
The Services are provided as a beta product using experimental blockchain, wallet, smart-contract, indexing, and web-app infrastructure. The Services may change, fail, be suspended, be discontinued, or produce unexpected results.
Blockchain transactions are irreversible by default. Smart contracts execute according to their code and blockchain state. We cannot reverse wallet transactions, recover private keys, guarantee contract execution, guarantee app availability, or guarantee that a creator will perform any promised work.
Use only amounts you can afford to lose.
3. No Custody and No Financial Advice
StakeDriven is non-custodial. We do not hold your private keys and do not take custody, possession, or control of your tokens. You interact with smart contracts through your own wallet, except where the app may read blockchain data or trigger limited backend functions such as indexing or finalization support.
StakeDriven does not provide financial, investment, legal, tax, accounting, securities, crowdfunding, or regulatory advice. Nothing in the Services is a recommendation to create a poll, fund a poll, buy or sell a token, hold a token, or rely on a creator's project.
StakeDriven does not offer staking yield, investment returns, loans, deposits, securities, brokerage, exchange, asset management, payment-account, escrow, or money-transmission services. The Services are intended as a software interface for product validation polls.
4. Eligibility
You may use the Services only if:
- you are at least 18 years old or the age of majority in your jurisdiction, whichever is higher;
- you can form a legally binding agreement;
- you are not located in, ordinarily resident in, organized under the laws of, or acting for a person in a restricted jurisdiction;
- you are not a person or entity subject to sanctions, asset freezes, export controls, or similar restrictions;
- you are not using a wallet, address, service, protocol, or asset associated with sanctioned, stolen, hacked, terrorist, illegal, or high-risk activity; and
- your use of the Services is lawful in every jurisdiction that applies to you.
If you use the Services on behalf of a company, DAO, project, community, or other organization, you represent that you have authority to bind that organization.
We may block, restrict, suspend, or terminate access based on geography, IP address, wallet screening, sanctions screening, risk signals, legal requirements, abuse risk, or our own risk policies.
5. Accounts, Email, and Wallets
The production app may use third-party authentication and wallet providers, including Privy. To use authenticated features, you may need an email identity, a linked wallet, and an actively connected wallet.
You are responsible for your wallet, private keys, seed phrase, devices, browser, email account, passwords, transaction approvals, gas fees, and all activity connected to your wallet or account. We cannot recover lost keys, undo signatures, or cancel submitted transactions.
You must not use another person's wallet, email, account, identity, or organization name without authorization.
6. Hosted Interface Controls
The hosted StakeDriven interface may limit supported networks, tokens, jurisdictions, wallets, creators, poll types, poll amounts, poll duration, and access methods. For example, during an initial beta the hosted interface may support only selected Base network ERC20 tokens such as USDC, WETH, and cbBTC.
The smart contracts are decentralized and may be accessible directly without the hosted interface. We do not endorse, support, monitor, or accept responsibility for direct smart-contract interactions outside the hosted interface. Hosted-interface restrictions may not prevent direct contract interaction by third parties.
7. Poll Creator Responsibilities
If you create a project or poll, you are solely responsible for:
- the legality, accuracy, clarity, completeness, and fairness of your project, poll, options, descriptions, updates, and poll-specific terms;
- selecting only lawful poll subjects, lawful tokens, lawful recipients, and lawful user groups;
- complying with all laws that apply to your project, fundraising, marketing, rewards, taxes, data, sanctions, consumers, and users;
- delivering any product work, support, update, perk, bonus, or other commitment you describe;
- not misleading voters about what will be built, delivered, maintained, funded, refunded, or rewarded; and
- obtaining any rights, permissions, licenses, consents, or approvals needed for your project or poll.
You must not use the Services to offer, sell, market, or facilitate:
- shares, equity, debt, bonds, notes, derivatives, investment contracts, securities, transferable securities, or financial instruments;
- loans, deposits, interest, yield, staking rewards, revenue share, profit share, dividends, buybacks, appreciation rights, or other investment returns;
- token sales, token pre-sales, airdrops tied to investment expectations, or token-price speculation;
- regulated crowdfunding, charity, donation, gambling, lottery, prediction market, insurance, credit, payment, remittance, or money-service activity unless you have all required legal rights and prior written permission from StakeDriven;
- illegal goods or services, sanctioned activity, malware, exploits, stolen assets, weapons, terrorist financing, hate activity, or other prohibited activity; or
- materially deceptive, unfair, abusive, or manipulative practices.
You must not describe a poll as endorsed, sponsored, guaranteed, verified, approved, or underwritten by StakeDriven unless we expressly say so in writing.
8. Voter Responsibilities
If you fund a poll option, you are solely responsible for reviewing and understanding:
- the creator and project;
- the poll title, description, options, timing, number of winning options, and poll-specific terms;
- the token, network, wallet prompts, approvals, gas fees, and smart-contract address;
- the refund and claim mechanics;
- the risk that the creator may not perform as expected; and
- the legal, tax, regulatory, and financial consequences of your action.
Funding a poll option is not a deposit with StakeDriven. It is not insured. It does not create a right to yield, interest, profit, equity, governance, securities, repayment by StakeDriven, or performance by StakeDriven.
Winning-option voters should expect that the funds committed to winning options may be claimed by the poll creator after finalization. Non-winning-option voters may be able to claim back funds according to the smart contract. Network fees, failed transactions, token mechanics, and blockchain conditions may reduce or prevent expected outcomes.
9. Poll-Specific Terms
Each poll may include its own poll-specific terms. Those terms are set by the creator, not by StakeDriven, unless expressly stated otherwise.
Poll-specific terms should be short, clear, lawful, and understandable. They must not contradict these Terms, mislead voters, promise financial returns, or create prohibited regulated activity.
If poll-specific terms conflict with these Terms, these Terms govern as between you and StakeDriven. Poll-specific terms may still create responsibilities between the creator and voters, but StakeDriven is not a party to those commitments and does not guarantee them.
10. Voting, Cancellation, Finalization, and Claims
The app is an interface to smart contracts. The smart contracts, not the app text, ultimately control on-chain settlement.
A wallet may generally fund one active option per poll. During the active poll period, the contract may allow a voter to cancel an active vote and receive the amount calculated by the contract. After the poll ends, the poll may be finalized. The contract determines winning options based on committed funds and deterministic tie-break rules. The creator may claim winning-option funds. Voters with active non-winning votes may claim non-winning funds.
Token contracts can have unusual behavior. Fee-on-transfer, rebasing, blacklisting, paused, upgradeable, malicious, or non-standard tokens may cause received amounts, balances, credits, and claim amounts to differ from what users expect. The hosted interface may restrict tokens, but no interface can remove all token risk.
11. Fees
StakeDriven currently charges 0% platform commission for poll creation, voting, finalization, creator claims, and voter claims.
You may still pay third-party costs, including blockchain gas fees, wallet fees, RPC costs, bridge fees, exchange fees, token-transfer fees, and other infrastructure costs. Those costs are not charged by StakeDriven and may be non-refundable.
We may introduce fees in the future by updating the app and these Terms. Any future fee should be disclosed in the app before users interact with affected hosted-interface features. Existing deployed contracts remain governed by their deployed code.
12. Sanctions, Restricted Jurisdictions, and Compliance
You must not use the Services if you are subject to sanctions, located in a restricted jurisdiction, using a sanctioned wallet or service, acting for a sanctioned person, or otherwise prohibited by law.
You must not use VPNs, proxies, false information, wallet routing, mixers, bridges, or other methods to evade sanctions, geoblocking, wallet screening, compliance controls, or app restrictions.
We may screen wallets, IP addresses, countries, regions, transactions, and other risk signals. We may refuse, block, report, restrict, or freeze app-interface access where we believe required or appropriate. Because the smart contracts are decentralized, app restrictions may not prevent direct on-chain activity; such activity remains at your own risk and may violate these Terms or applicable law.
13. Prohibited Conduct
You agree not to:
- violate any law, regulation, sanctions program, court order, or third-party right;
- use the Services for fraud, misrepresentation, deception, market manipulation, wash funding, Sybil activity, spam, or abusive behavior;
- upload unlawful, defamatory, hateful, harassing, pornographic, infringing, misleading, malicious, or exploitative content;
- interfere with, attack, overload, scrape, crawl, reverse engineer, bypass, or exploit the Services or third-party infrastructure;
- introduce malware, malicious contracts, phishing links, fake tokens, or harmful code;
- manipulate poll results through bots, collusion, fake identities, or misleading incentives;
- use the Services for illegal goods, stolen assets, terrorist financing, sanctioned activity, money laundering, weapons, narcotics, or cybercrime;
- impersonate StakeDriven, a creator, a user, or any third party; or
- remove, hide, or misrepresent risk notices, legal notices, wallet prompts, or app disclosures.
14. Moderation and App Availability
We may hide, remove, restrict, label, moderate, suspend, or terminate projects, polls, updates, accounts, wallets, or app-interface access at any time if we believe they violate these Terms, create legal or security risk, are misleading, are spam, or may harm users or StakeDriven.
Moderation affects only the hosted interface and off-chain app data. It does not delete or reverse public blockchain transactions.
We may change, suspend, discontinue, limit, or block any part of the Services at any time.
15. Privacy
Our Privacy Policy explains how we collect, use, share, retain, and protect information. By using the Services, you acknowledge the Privacy Policy.
You understand that blockchain data is public by design and may be permanent, searchable, linkable, and impossible for us to delete.
16. Intellectual Property and Feedback
As between you and StakeDriven, you retain rights in content you submit, subject to the license you grant us to operate, host, store, display, index, moderate, secure, analyze, and improve the Services.
You represent that you have all rights needed to submit your content and that your content does not violate law or third-party rights.
Feedback, ideas, suggestions, bug reports, or feature requests you provide are voluntary. We may use them without restriction or compensation.
StakeDriven names, logos, product designs, copy, interface elements, and branding are owned by their respective owners. You may not use StakeDriven branding in a way that suggests endorsement, sponsorship, or affiliation without written permission.
17. Source Code and Smart Contract License
StakeDriven smart contracts or related code may be published under separate source-code licenses. Your use of the hosted Services does not grant you rights to copy, modify, deploy, commercialize, host, or otherwise use source code except as expressly allowed by the applicable license.
Published source code does not mean the code is risk-free, audited, suitable for your use, or free from vulnerabilities.
18. Third-Party Services
The Services rely on third parties, which may include Privy, wallets, wallet connectors, Base, Ethereum-compatible networks, RPC providers, block explorers, Supabase, Vercel, analytics providers, sanctions-screening providers, and token contracts.
Third-party services are not controlled by StakeDriven and may have their own terms, privacy policies, fees, outages, risks, security incidents, and restrictions. We are not responsible for third-party services.
19. Taxes
You are solely responsible for determining, reporting, and paying any taxes, duties, or charges arising from your use of the Services, including creating polls, funding options, receiving funds, claiming refunds, or transferring tokens.
StakeDriven does not provide tax advice.
20. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, security, and error-free operation.
We do not guarantee poll outcomes, creator performance, voter participation, token value, refunds, finalization timing, claim availability, app availability, blockchain availability, data accuracy, legal compliance by creators or voters, or that vulnerabilities will be found or fixed.
Some jurisdictions do not allow certain disclaimers. In those jurisdictions, the disclaimers apply only to the maximum extent permitted by law.
21. Limitation of Liability
To the maximum extent permitted by law, StakeDriven and its contributors, owners, operators, developers, service providers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of tokens, private keys, data, goodwill, business opportunity, expected proceeds, or expected product benefits.
To the maximum extent permitted by law, the total liability of StakeDriven and those persons for any claim related to the Services will be limited to the greater of: (a) the amount of platform fees you paid directly to StakeDriven for the Services giving rise to the claim during the 3 months before the claim; or (b) USD 100. Because StakeDriven currently charges no platform commission, this limitation may cap claims at USD 100 where permitted by law.
Nothing in these Terms limits liability that cannot be limited under applicable law.
22. Indemnity
You agree to defend, indemnify, and hold harmless StakeDriven and its contributors, owners, operators, developers, service providers, and affiliates from claims, damages, liabilities, losses, costs, and expenses arising from or related to:
- your use of the Services;
- your wallet transactions;
- your project, poll, content, updates, allowlists, or poll-specific terms;
- your violation of these Terms;
- your violation of law or third-party rights;
- your sanctions, tax, consumer, securities, fundraising, or regulatory obligations; or
- creator promises, voter disputes, or third-party claims connected to your poll.
23. Changes to These Terms
We may update these Terms by posting a revised version and updating the effective date or version. Updated Terms apply from the time they are posted or from any later date stated in the updated Terms.
If we make material changes, we may provide additional notice or request renewed consent where required or appropriate. Continued use of the Services after updated Terms apply means you accept the updated Terms.
24. Termination
You may stop using the Services at any time. We may suspend or terminate your app-interface access at any time if we believe you violated these Terms, created risk, or if required by law.
Termination does not reverse blockchain transactions, remove public blockchain data, or eliminate obligations that by their nature should survive, including risk assumptions, disclaimers, liability limits, indemnity, intellectual property provisions, and compliance obligations.
